ARCOIRIS Terms of Use

This is an English translation of the Japanese original. If there is any discrepancy between the two, the Japanese version prevails.

These Terms set out the conditions for using ARCOIRIS, a color grading product (the "Product") provided by the operator of ARCOIRIS ("we" or "us"). By purchasing or downloading the Product, you are deemed to have agreed to these Terms.

Article 1 (Contents of the Product)

The Product includes DCTL files, LUT files (.cube), PowerGrade files, and accompanying documentation.

Article 2 (License)

On the condition that you comply with these Terms, we grant you, the purchaser, a non-exclusive right to use the Product within the following scope.

Commercial use is permitted. You may use the Product in professional video production, including client work. There are no per-project fees and no obligation to give credit.
There is no limit on the number of machines. You may install the Product on multiple machines, as long as you are the one using it.
The license is granted to you personally as the purchaser. Even if purchased under a company name, one license is required for each person who actually operates the Product.

Article 3 (LUTs You Create)

LUT files you create and export using the Product may be handled freely as your own work. We place no restriction on distributing them to third parties, selling them, or delivering them to clients.

This applies only to LUTs you newly create using the Product. Distributing or selling the stock LUTs bundled with the Product, or files that are essentially straight copies of them, is prohibited under Article 4.

Article 4 (Prohibited Acts)

When using the Product, you must not do any of the following.

Redistribute, transfer, resell, lend, share or publish any file included in the Product (including DCTLs, bundled LUTs and PowerGrades) to a third party
Make the Product accessible to anyone other than the purchaser through file-sharing services, social media, cloud storage or similar means
Sell or distribute the Product as your own product after changing its name, packaging or price
Decompile, disassemble or reverse-engineer the Product, or analyze, copy or publish its contents
Remove or alter any copyright notice or identifying information included in the Product
Use the Product to create content that violates laws or public order and morals
Otherwise unreasonably infringe our rights

Article 5 (Copyright)

All copyrights and other intellectual property rights relating to the Product belong to us. These Terms grant you a license and do not transfer any rights to you.

Article 6 (Updates)

If updated versions of the Product are provided, you may use them at no additional cost. However, we do not promise to provide updates, and we take on no obligation as to their timing, content or frequency.

Article 7 (Scope of Warranty)

We warrant that the Product will work as described, in the system environment stated on the product page. However, we do not warrant any of the following.

That you will obtain the result you intend with every kind of footage, camera or color space
That the Product will continue to work with future versions of DaVinci Resolve, or after updates to your OS or GPU drivers
That the Product is fit for any particular purpose of yours

Article 8 (Damages)

If you suffer damage in connection with the Product for reasons attributable to us, we are liable to compensate you for that damage.

However, only where the damage is caused by our negligence (excluding gross negligence), the amount of compensation is limited to the price you paid us for the relevant product. This limit does not apply where the damage is caused by our intent or gross negligence.

Article 9 (Termination of License)

If you breach these Terms, we may terminate your license without prior notice. In that case, you must delete all files of the Product, and no refund will be given.

Article 10 (Changes to These Terms)

We may change these Terms when we consider it necessary. The revised Terms take effect when they are posted on this page. However, for products you have already purchased, we will not change the scope of the license granted under Article 2 to your disadvantage.

Article 11 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute relating to the Product shall be subject to the exclusive jurisdiction of the Sapporo District Court as the court of first instance.
